Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Berceau Industries LLC ("we," "our," or "us") governing your use of the Gideon mobile application and the website at berceauindustries.com (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

2. Eligibility

You must be at least 18 years old to use the Service.

3. Description of Service

Gideon is a speaking companion for iOS and Android phones and tablets. You hold live voice conversations with an AI coach and receive transcripts, scores, and feedback on how you speak. Gideon also includes Hone, scheduled practice. Conversations are subject to session and daily time limits shown in the app. We may change, suspend, or discontinue any part of the Service at any time.

4. Account Registration and Security

You need an account to use the Service. You agree to provide accurate information, keep your login credentials secure, and accept responsibility for all activity under your account. Each account is personal and may not be shared or transferred.

5. Voice, Recordings, and AI

  • Microphone: Conversations use your device's microphone. Your audio is processed live by our AI provider to run the conversation, as described in our Privacy Policy.
  • Recordings: Saving a recording of your voice is optional and off by default.
  • AI-generated content: The coach's replies, scores, and feedback are generated by artificial intelligence. They may be inaccurate, incomplete, or inappropriate, and they are not the views of Berceau Industries LLC.
  • Not professional advice: Gideon is a practice tool. It is not speech therapy, medical, legal, or professional advice, and it does not guarantee any outcome such as a test score or job.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

  • Record or include another person in a conversation without their consent
  • Try to make the coach produce harmful, illegal, or abusive content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or its infrastructure, or get around its time limits
  • Use automated systems (bots, scrapers) without permission
  • Reproduce, sell, or exploit any portion of the Service
  • Upload malware or harmful code
  • Reverse engineer the Service or use it to develop competing products

7. Intellectual Property Rights

The Service and its contents, including software, scenarios, practice material, text, graphics, logos, and design, are owned by Berceau Industries LLC or its licensors and protected by intellectual property laws. You may use them for your personal, non-commercial use only.

8. Your Content

Your voice, recordings, and what you say remain yours. You grant Berceau Industries LLC a non-exclusive, worldwide, royalty-free license to process them solely to provide the Service to you. This license ends when you delete the content or your account.

9. Subscriptions, Free Trial and Extra Minutes

Using Gideon requires a Gideon Pro subscription, or the free trial of one. Each plan includes a number of conversation minutes every month, shown in the app before you subscribe.

  • Billing: Subscriptions and extra minutes are bought and billed through the App Store or Google Play, at the price shown before you confirm.
  • Monthly Minutes: Your plan's conversation minutes renew every month on the day your subscription period started, on monthly and yearly plans alike. Monthly minutes you do not use in a month do not carry over to the next.
  • Free Trial: A plan may start with a free trial of the length shown before you confirm (currently 3 days). During the trial, conversations are limited to the trial minutes shown in the app (currently 10 minutes). The trial is offered once per App Store or Google Play account and once per device. Unless you cancel at least 24 hours before the trial ends, it converts automatically to a paid subscription and you are charged the plan's price when it ends. You can also subscribe without the trial, in which case you are charged at once and receive the plan's full monthly minutes.
  • Auto-Renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. Your App Store or Google Play account is charged for renewal within 24 hours before the end of the current period.
  • Cancelling: You can manage or cancel your subscription at any time in your App Store or Google Play account settings. Cancelling stops the next renewal; you keep access, and your monthly minutes, until the end of the period you paid for. Deleting your account does not cancel a subscription.
  • Extra Minutes: Subscribers can buy packs of extra conversation minutes. Extra minutes are used only after your plan's monthly minutes for the month are used up. They do not expire, but they can be used only while you have an active subscription or trial; if your subscription ends, they are kept and can be used again when you subscribe. Extra minutes have no cash value, cannot be exchanged for money, and cannot be transferred to another account.
  • Minutes Given by Us: We may add extra minutes to your account, for example as a goodwill gesture. They follow the same rules as extra minutes you buy, and we may take back minutes given by mistake if you have not used them.
  • Price Changes: We will notify you before a price change applies to your subscription.
  • Refunds: Subscriptions and extra minutes are refunded only by Apple or Google, under their refund policies. If a pack of extra minutes is refunded, its minutes are removed from your account, including minutes already used, and extra minutes cannot be used until your balance is above zero again; your plan's monthly minutes are not affected.

10. Termination

You may delete your account at any time in the app's settings or by contacting support@berceauindustries.com. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BERCEAU INDUSTRIES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERCEAU INDUSTRIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. BERCEAU INDUSTRIES LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS OR $100.

13. Dispute Resolution

These Terms are governed by the laws of the State of New York. Before filing formal action, you agree to attempt informal resolution by contacting support@berceauindustries.com. Unresolved disputes shall be resolved by binding arbitration administered by the AAA in New York.

YOU AND BERCEAU INDUSTRIES LLC AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER.

14. Apple App Store

If you downloaded Gideon from Apple's App Store, these Terms are between you and Berceau Industries LLC, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support, and is a third-party beneficiary of these Terms with the right to enforce them against you. Your use must also comply with the App Store's Usage Rules.

15. Changes to These Terms

We may modify these Terms. Material changes will be announced in the app at least 30 days before they take effect. Continued use of the Service after that constitutes acceptance of the updated Terms.
